The short version. Open Ledger is a free bookkeeping tool that organizes your rental records and estimates figures like depreciation, carryover and tax set-asides. It is not tax, legal or accounting advice, and it doesn't file anything. Your tax advisor decides what goes on your return. You're responsible for what you enter. Keep your own copies of important records.
These terms are an agreement between you and Open Ledger Properties ("we," "us") for your use of Open Ledger, the bookkeeping tool at openledger.properties (the "Service"). By creating an account or using the Service, you agree to these terms and to our privacy policy. If you don't agree, please don't use the Service.
What Open Ledger does
Open Ledger lets you record information about rental properties you own or co-own, such as purchase details, income, expenses, mileage and receipts, and produces summaries and reports from it, including estimates of depreciation, loss carryover and tax to set aside. Property management services we provide separately are governed by their own written agreements, not these terms.
Not tax, legal or accounting advice
Every figure the Service shows or reports is an estimate based on what you enter and on general rules. Tax law is complex and depends on facts we don't know, such as your other income, how you participate in the rental, and elections your preparer makes. The Service doesn't prepare or file returns, and using it doesn't create an advisor, accountant or fiduciary relationship with us. Review all figures with a qualified tax professional before relying on them. Your advisor sets the actual amounts.
Your account
You sign in with a code sent to your email address. Keep access to that email account secure; anyone who can read your email can sign in to your ledger. You must be at least 18 and able to enter into this agreement. Tell us right away at [email protected] if you think someone has accessed your account without permission.
Your information and responsibilities
- You're responsible for the accuracy and completeness of what you enter, including receipts and categories.
- Only add properties you own, co-own or are authorized to keep books for. If you list co-owners or other people, you confirm you're allowed to record their information.
- Keep your own copies of important records and receipts. Download your reports regularly.
- Don't upload anything unlawful, anything you don't have the right to share, or malicious files, and don't try to access other people's data or disrupt the Service.
You own the information you enter. You give us permission to store, process and display it only as needed to provide the Service to you, as described in the privacy policy.
Free service, provided as is
The Service is currently free. We may add paid features in the future; we'll tell you before anything you use starts to cost money, and you won't be charged without agreeing first.
We work to keep the Service accurate, available and secure, but we provide it "as is" and "as available," without warranties of any kind, including warranties of accuracy, fitness for a particular purpose, or uninterrupted availability, to the fullest extent the law allows.
Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for taxes, interest, penalties, or lost deductions arising from your use of the Service or reliance on its estimates. Our total liability for any claim related to the Service is limited to the greater of the amount you paid us for the Service in the 12 months before the claim, or $100. Some places don't allow these limits, so they may not apply to you.
Ending your use
You can stop using the Service at any time and ask us to delete your account and ledger. We may suspend or end access if you break these terms or misuse the Service, and we may discontinue the Service with reasonable notice. If we discontinue it, we'll give you a chance to download your reports and receipts first.
Changes to these terms
We may update these terms as the Service changes. We'll update the date at the top of this page, and we'll email account holders about significant changes. Continuing to use the Service after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute will be handled in the state or federal courts located in Los Angeles County, California, unless the law requires otherwise.
